Terms of Service

Welcome to ZHisland!

Please carefully read the following terms. If you do not agree to be bound by any of the terms and conditions of this Agreement, you may choose not to access ZHisland Website. By either accessing ZHisland Website or publishing any contents ("Contents") on ZHisland Website afterwards upon completing the pre-application, you ("User") agree to all the terms and conditions hereof.

Beijing ZHisland Information Technology Co., Ltd. owns the right to operate ZHisland Website. ZHisland, ZHisland Website and Beijing ZHisland Information Technology Co., Ltd. referred to in these Terms of Service shall be deemed to be the same subject.

This Agreement includes the Terms of Service and any agreements, business rules or other contents regarding Services that ZHisland may publish from time to time. The aforesaid contents shall become an integral part of this Agreement and be abided by once upon their official publication. If any of the provisions of this Agreement becomes invalid or unenforceable in whole or in part for whatever reason, the validity and enforceability of the remaining provisions shall not in any way be affected or impaired.

The headings contained herein are for convenience only, which have no practical implication and shall not affect the interpretation of this Agreement.

Description of Services

ZHisland Website is a platform for information sharing, dissemination and acquisition. Unless otherwise expressly provided in these Terms of Service, any new feature that adds or enhances the current Services, including any new product introduced, shall be bound to these Terms of Service. You understand and agree that the Services are provided "as is", and ZHisland Website shall assume no responsibility for the timeliness, deletion, transmission error, failure to store or any other problem in the communication or personalization of any user.

Governing Law and Jurisdiction

The conclusion, effectuation, performance and interpretation of these Terms of Service and the settlement of any dispute arising out of or relating to these Terms of Service shall be governed by the laws of the mainland of the People's Republic of China (without regard to conflict of laws). For any particular matter relating to this Agreement without express stipulation by law, internationally accepted business practices and industry practices shall apply.

You agree to comply with any and all provisions in Contract Law of People's Republic of China, Copyright Law of the People's Republic of China and the implementing regulations thereof, Decision of the Standing Committee of the National People's Congress on Maintaining Internet Security (NPC Decision on Maintaining Internet Safety), Law of the People's Republic of China on Guarding State Secrets, Regulations of the People's Republic of China on Telecommunications (Regulations on Telecommunications), Regulations of the People's Republic of China on Safeguard of Computer Information Systems, Interim Administrative Measures of the People's Republic of China for International Networking of Computer Information Systems and the implementing regulations thereof, Administrative Measures for the Confidentiality of International Networking of Computer Information Systems, Administrative Measures for Internet Information Services, Administrative Measures for Safeguard of International Networking of Computer Information Systems, Administrative Provisions on Internet Electronic Bulletin Service (Provisions on Electronic Bulletin) and other applicable Chinese laws and regulations, and be held responsible for any use of the Services with your password and account in any way and any consequences thereof. Violation of NPC Decision on Maintaining Internet Safety may constitute a crime and be subject to investigation for criminal liabilities. Provisions on Electronic Bulletin expressly stipulate that Internet users shall be responsible for the information they published using electronic bulletin systems. It is also noted in Regulations on Telecommunications that telecommunication users shall be responsible for transmission of information via the telecommunication network and the consequences thereof. If ZHisland Website under any circumstances reasonably believes that any of your behavior, including but not limited to your speech or any other behaviors, violates or possibly violates any of the provisions in the above laws and regulations, ZHisland Website reserves the right to stop performing the Services at any time without giving prior notice.

Any disputes arising from the contents or performance of this Agreement shall be settled by both parties through amicable negotiations. If no agreement is reached, either party may submit to Beijing Arbitration Commission for arbitration.

User Eligibility

You acknowledge that you shall be a natural person, juristic person or other organization with full capacity for civil act and the capacity appropriate for the civil act you perform at the time you complete the registration or actually use the Services as otherwise permitted by ZHisland. If you do not have the aforesaid capacity as a subject, do not use the Services. Otherwise, you and/or your guardian will be held liable for any and all consequences thereof, and ZHisland Website is entitled to cancel (persistently block) your account and to lodge a claim against you and/or your guardian. In addition, you may not sell, resell or transfer your account with ZHisland Website to any third party. If you are ineligible or there is any false information in the materials you submitted, you will be prohibited from using the services of ZHisland Website. When you register for membership on the website on behalf of any other natural person, legal person or organization, you shall represent and warrant that you have been authorized to do so and is entitled to subject such legal subject to this Agreement.

Use of Services

Any use of the services provided by ZHisland Website shall be subject to these Terms of Service.

You agree to use real name and provide true, correct, latest and complete data (hereinafter "Registration Data") as per the registration requirements when submitting the application for use of services on ZHisland Website, and proceed with authentication as approved by ZHisland. The methods you may use for such authentication include but not limited to email (the email shall be certified by a third-party institution designated by ZHisland). If you provide any false or untrue information or include any advertisement, inappropriate contents or irrelevant information in your personal information, ZHisland Website has the right to suspend or terminate your account and ban you from using the Services in whole or partly as of the moment when your provision of such information is found.

Upon your successful registration with ZHisland Website, you shall become the legitimate user of ZHisland Website, which will provide you with an account ID and password. You shall be responsible for maintaining the confidentiality and security of such account ID and password, and shall be liable for all of your activities and behaviors conducted using such account ID. In the event of any unauthorized use of such account ID and password or any security vulnerabilities, you shall notify ZHisland Website immediately. ZHisland Website shall not be liable for any loss or damage arising from or in connection with the breach of aforesaid terms by any member during his or her use of the Services.

You agree that for any demand information, including both business and non-business information, published by you on ZHisland Website, ZHisland Website has the right not to disclose the information of publisher of such demand information or the publisher information referred to in such demand information, including but not limited publisher's name, contact information and address. ZHisland Website may, based on duly judgment and screening, disclose the information of aforesaid publisher to the users who are matched to such demand information and have endorsement of trust.

User Behaviors

During the use of the Services provided by ZHisland Website, you shall comply strictly with applicable laws and regulations, and shall not use ZHisland Website platform to publish any inappropriate contents including but not limited to:

1.The contents that are in violation of China's laws and social ethics, endanger China's security, unity, social stability, public order and good customs, or are offensive, slanderous, obscene and violent;

2.The contents that infringe on the reputation right, portraiture right, intellectual property right, trade secret and other legitimate rights of any other party;

3.The contents that are false, untrue, misleading or deceptive;

4.The contents that are harmful, threatening, vulgar or morally repulsive, violate any other party's privacy, or constitute harassment, defamation or repeated spamming; and

5.Other contents that are forbidden by laws and regulations, policies, and social ethics, or endanger public order and good customs.

You agree that without the explicit written content of ZHisland Website, you shall not, partly or in whole, reproduce, disseminate, display, mirror, upload, download, reprint, quote, link to, capture or otherwise use any information of ZHisland Website (including but not limited to the information published by you and other users) in any manner and in any name.

In the event of your violation of laws, aforesaid provisions or any legitimate rights and interests of any third party during your use of the Services, you shall be solely liable for such violation, and shall be responsible for any and all loss incurred by ZHisland Website or any third party arising from or in connection with such violation. ZHisland Website has the right to directly delete any contents that are in violation of forgoing provisions without notice. ZHisland Website also has the right, based on the nature of your behaviors, take actions against you including but not limited to restricting, suspending or terminating your use of all or some functions of the Services, and holding you liable for such violation.

The Services shall not be used for business purpose unless a separate contract is entered into between you and ZHisland Website.

You shall not create any account automatically, or perform any operation on the account using automatic system.

Any operations performed by you that can affect the overall stability or integrity of the system may be suspended or terminated until the problems are solved.

ZHisland Website has the right to accept and settle any disputes or controversies between and complaints of users arising from the use of the Website, to conduct investigation into such disputes, controversies or complaints by email and other methods, and to keep the other party informed of the available information by email and other means. You have the obligation to, upon the receipt of the notice from the website, furnish the website with the information necessary to solve such disputes, controversies or complaints, and provide assistance and coordination in investigating and settling such disputes and complaints.

International Use

n consideration of the Internet's borderless nature, you shall, during the use of the Services, abide by local laws and regulations and respect the local ethics, practices and customs. In the event of your violation of any local laws and regulations or ethics and customs, you shall be solely responsible for such violation. You shall ensure that ZHisland Website will not be involved in any political and public affairs arising from your use of the Services. Otherwise, ZHisland Website has the right to suspend or terminate the services provided for you.

"The area where the Services are publicly available" herein refers to the area where general members are allowed to use the Services. You acknowledge that you have granted ZHisland Website the royalty-free, perpetual, non-exclusive and sub-licensable license to use the contents posted by you in the "area where the Services are publicly available" and any other areas where the Services are publicly available. Any message, data, text, software, music, photos, images, audios, videos, information or other materials uploaded, posted, e-mailed or transmitted by any other means through the Services (hereinafter referred to "Contents"), whether publicly or privately, shall be the responsibility of the provider of the Contents.

Protection of Privacy

ZHisland has been committed to fully protecting the privacy of your personal information by technical means and by making all possible efforts in strengthening internal control.

ZHisland may collect and use or provide any third party with your non-personal information necessary for operation and improvement of ZHisland's technologies and services in order to provide you with better user experience and service quality.

ZHisland hereby undertakes that it shall not make public or disclose to any third party your personal information or any non-publicly available information stored by you during the use of Services, except if:

1. You agree that such personal information may be shared with the third party;

2. You agree that such personal information may be made public to allow you to use the supplied products and services;

3. Such personal information is required to be disclosed according to applicable laws or legal procedures.

Change, Suspension or Termination of Services

If it is necessary to suspend the Services or make adjustments to service functions for the reason of system upgrade or maintenance, ZHisland Website shall give notice to users on the website in advance as early as possible.

In the event of any of the following circumstances, ZHisland Website has the right to suspend or cease the provision of Services to you at its sole discretion without notice:

1. You provide untrue personal information;

2. You are in violation of the use rules specified in these Terms of Service;

3. You use ZHisland Website platform for business purpose without the prior consent of ZHisland Website.

Refinement and Modification of Terms of Service

With the development of Internet, ZHisland Website has the right to refine and modify these Terms of Service from time to time based on changes of relevant laws and regulations or business needs. In the event of any modifications to any provisions of these Terms of Service, ZHisland will release the modified provisions on ZHisland Website for your reference. Such release will be deemed that ZHisland has notified you of the modifications. ZHisland may inform you of modifications to the terms of user agreement, changes of Services or other important matters via e-mail or private message. You accept the modified contents of Services by continuing the use of the Service. Any dispute arising from or in connection with the Services shall be resolved according to the latest version of these Terms of Service.

Intellectual Property Right

The Website and the material selection, sorting, arrangement, layout and compilation of all the contents of the Website, as well as the copyrights in the text, pictures, and other works created by the Website shall be owned by the website, whether the ownership is explicitly stated. Without the written authorization or permission of the Website, any natural person, legal person, and other organizations shall not modify, publish, disseminate, participate in dissemination of, sell and create any derivative works from or otherwise use part of or all the contents on the Website, including but not limited to the information on the company and products. The Website shall reserve the right to hold you liable for any breach of this provision.

Without the authorization of the Website, any use of the rights to any trademark, service mark, domain name, logo, layout design, typesetting, text, picture, graphic and other noticeable brand attributes on the Website is not allowed.

The Website and all the contents thereof shall be protected by the Copyright Law of the People's Republic of China, Trademark Law of the People's Republic of China and other applicable laws. Any information released by you on the Website shall not infringe on the intellectual property rights of any third party. Without the prior written consent of relevant copyright owner, you shall not upload, release, modify, disseminate or reproduce in any manner any party's materials, trademark or proprietary information that are protected by copyright.

Trademark of ZHisland Website

The ZHisland Website logo and names of other products and services of ZHisland Website shall be the trademarks owned by Beijing ZHisland Information Technology Co., Ltd. (hereinafter referred to as "ZHisland Website Mark"). You agree that without the prior written consent of ZHisland Website, you shall not to, or shall not to represent that you have the right to, display or use or otherwise process the ZHisland Website Marks in any manner for any profit-oriented or non-profit purposes, including but not limited to gathering, organizing, student recruitment, investment invitation and business operation.
